01

Agreement and eligibility

These Terms of Service ("Terms") are an agreement between you and TacticSpace Tech ("TacticSpace", "we", "us") governing your access to and use of Lumo. By creating an account, purchasing a plan, downloading, accessing, or using Lumo, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

You must be at least 13 and legally capable of entering this agreement. If you are below the age of majority where you live, a parent or legal guardian must review and agree to these Terms for you. If you use Lumo for an organization, you represent that you have authority to bind it, and “you” includes that organization.

02

Service and license

Lumo is a creator workspace available through supported apps, websites, cloud services, connected-device features, and AI-assisted workflows. Features can vary by device, operating system, build, region, account, plan, and selected provider.

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to install and use Lumo for your own internal personal or business purposes. We reserve all rights not expressly granted.

03

Accounts and security

You must provide accurate information, keep it current, protect your credentials and connected devices, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account unless applicable law says otherwise.

Do not share credentials, transfer an account, impersonate another person, or create accounts through deceptive or automated means. We may require verification, rate-limit sign-in attempts, or take protective action when we detect account risk.

04

Web subscriptions and billing

Paid subscriptions are currently sold only on the web

A Lumo app may start the flow, but purchase, payment, and subscription management are completed in your browser through Lumo's Stripe-hosted checkout and billing portal. We do not currently sell paid Lumo subscriptions through Apple App Store in-app purchase or another app-store billing system.

Prices, billing interval, currency, taxes, plan entitlements, and any proration are shown before you confirm checkout. Annual plans are generally charged upfront even when the website displays a monthly equivalent. You authorize Stripe and us to charge the selected payment method for the initial term and each renewal.

Unless checkout states otherwise, paid subscriptions renew automatically for the same monthly or annual interval until cancelled. You may cancel through the browser-based billing portal. Cancellation takes effect at the end of the current paid period, and access normally continues until then. Uninstalling an app does not cancel a subscription.

Payments are final and non-refundable, and we do not provide partial-period credits, except where required by law or expressly stated in a written offer. If a payment fails, we may retry it, limit paid features, suspend service, or move the account to a free plan. Contact support promptly if you believe a charge is incorrect.

We may change plan prices. For an increase to a recurring subscription price, we will provide at least 30 days' notice where reasonably possible, and the new price will apply no earlier than the next renewal so you can cancel before it takes effect. Mandatory cancellation and refund rights under local law remain unaffected.

05

Plans and usage limits

Free and paid plans can include different features, model access, quality levels, speed, storage, request limits, usage windows, and support. Current descriptions are shown on the pricing and checkout pages. A plan does not guarantee unlimited or uninterrupted use unless we expressly say so.

Usage allowances normally reset according to the displayed window and do not roll over, transfer, convert to cash, or acquire monetary value. We may reasonably adjust technical limits to prevent abuse, protect availability, comply with provider constraints, or reflect product changes.

06

Your content

Between you and TacticSpace, you retain any rights you have in prompts, files, messages, images, audio, instructions, and other materials you provide ("Input") and in content returned to you by Lumo ("Output"), to the extent permitted by applicable law. Output may be subject to third-party rights and may not be unique.

You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, modify, and otherwise process your content only as reasonably necessary to provide, secure, maintain, troubleshoot, and support Lumo, follow your instructions, and comply with law. Our handling of personal information is described in the Privacy Policy.

You are responsible for having the rights and permissions needed for your Input and intended use of Output, and for keeping independent backups of important files. Do not provide content that you are not authorized to process.

07

AI outputs and your responsibility

Do not treat AI output as guaranteed truth

AI output can be inaccurate, incomplete, outdated, offensive, or unsuitable, and different users may receive similar output. Review sources, facts, rights, safety, and suitability before publishing, acting on, or relying on it.

Lumo is not a substitute for legal, medical, financial, employment, safety, or other professional advice. Do not use Output as the sole basis for high-impact decisions about a person. You remain responsible for actions you authorize Lumo, an agent, a tool, or a connected service to perform on your behalf.

08

Acceptable use

You may not use Lumo, assist another person to use it, or provide content for any of the following:

  • Breaking the law, violating sanctions or export controls, or facilitating illegal activity.
  • Infringing intellectual property, privacy, publicity, confidentiality, or other rights.
  • Creating or distributing malware, phishing, credential theft, spam, or harmful code.
  • Exploiting or endangering children, threatening people, or enabling serious physical harm.
  • Attempting unauthorized access, bypassing safeguards or usage limits, or disrupting the service.
  • Scraping, reselling, sublicensing, or commercially exploiting the service except as we expressly allow.
  • Reverse engineering or using Lumo or its outputs to build a competing model or service where prohibited by law or license.
  • Misrepresenting AI-generated material as verified fact, professional advice, or human-authored work where disclosure is required.

We may investigate suspected misuse, preserve relevant records, limit or block activity, and cooperate with lawful authorities. Enforcement decisions may consider context, severity, recurrence, and risk.

09

Third-party services

Lumo can connect to AI providers, payment processors, hosting services, operating-system features, websites, tools, skills, and other third-party services. Their terms, privacy notices, availability, pricing, limits, and output rules may apply in addition to these Terms.

We do not control and are not responsible for third-party services, their content, security, outages, changes, actions, charges, or decisions. If you supply your own provider key or connect an account, you are responsible for that relationship, authorization, configuration, and resulting fees.

10

Our rights and feedback

Lumo, including its software, design, branding, documentation, workflows, and service technology, is owned by TacticSpace or its licensors and protected by intellectual-property laws. These Terms do not transfer ownership of Lumo or our trademarks to you.

If you voluntarily provide ideas, suggestions, or feedback, you grant us a perpetual, worldwide, royalty-free, transferable, and sublicensable right to use it without restriction or compensation to you. Do not submit feedback you expect us to keep confidential.

11

Availability, updates, and changes

We may update Lumo automatically and may add, change, limit, pause, or discontinue features, models, providers, integrations, or plans. We do not promise that any feature will remain available, compatible, error-free, secure, or unchanged, or that defects will be corrected.

Preview, beta, experimental, or early-access features are provided for evaluation, may be less reliable or secure, can change without notice, and may never become generally available. They are used at your own risk and without service-level commitments.

We are not liable for service interruption or discontinuation. If mandatory law requires a remedy for discontinuing a prepaid service, that remedy will be limited to the unused prepaid portion required by law.

12

Suspension, termination, and deletion

You may stop using Lumo at any time. We may restrict, suspend, or terminate access, remove content, or close an account when we reasonably believe you breached these Terms, payment is overdue, activity creates risk or harm, law requires it, or continued service is no longer practical. We may act immediately where urgency or security requires.

Deleting an account may immediately end paid access, cancel associated subscriptions, and delete cloud workspaces and content. Local files on your own devices may remain until you remove them. Export or back up anything you need before deletion. Some records can be retained as described in the Privacy Policy.

Sections concerning ownership, payment obligations already incurred, content responsibility, disclaimers, liability limits, indemnity, disputes, and other provisions that should reasonably survive will remain effective after termination.

13

Warranty disclaimer

To the maximum extent permitted by law, Lumo and all related services, content, outputs, models, features, and support are provided “as is” and “as available,” without warranties of any kind, express, implied, statutory, or otherwise.

We disclaim warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, and security, and warranties arising from dealings or trade usage. No oral or written information creates a warranty not expressly stated here. Some jurisdictions do not allow certain exclusions, so they apply only to the extent lawful.

14

Limitation of liability

No consequential damages; aggregate liability capped

To the maximum extent permitted by law, TacticSpace, its affiliates, personnel, suppliers, licensors, and distributors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business, opportunity, goodwill, use, or data; business interruption; cost of substitute services; or damages arising from AI output, third-party services, unauthorized access attributable to you, or events outside our reasonable control.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to Lumo or these Terms will not exceed the total fees you actually paid to TacticSpace for the specific service giving rise to the claim during the 12 months before the event creating liability. If you paid no fees for that service, our maximum aggregate liability is zero, except where applicable law requires otherwise.

These exclusions and limits apply regardless of the legal theory, whether or not we were advised that damages were possible, and even if a limited remedy fails its essential purpose. They allocate risk between you and us and are a basis of the service and pricing offered.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, which may include liability for fraud, willful misconduct, death or personal injury caused by negligence, or mandatory consumer rights depending on your jurisdiction.

15

Indemnity

If you use Lumo on behalf of a business or organization, to the extent permitted by law, that organization will defend, indemnify, and hold harmless TacticSpace, its affiliates, and personnel from third-party claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from your content, your use or misuse of Lumo, your violation of these Terms or law, or infringement of another person's rights. We will provide reasonable notice and cooperation, and no settlement may impose liability or admission on us without our consent.

16

App stores and platform terms

If you download Lumo from an app store, the store's usage rules and terms also apply. The store operator is not a party to these Terms and is not responsible for Lumo, maintenance, support, product claims, or third-party claims, except for obligations it cannot lawfully exclude.

For Lumo obtained through Apple's App Store, the license is limited to Apple-branded products you own or control as allowed by Apple's Usage Rules. TacticSpace, not Apple, is responsible for Lumo and any support we promise. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it after you accept these Terms.

Paid Lumo subscriptions are currently not sold through Apple in-app purchase. Access to a paid plan purchased through Lumo's web checkout remains subject to these Terms and applicable app-store rules.

17

Disputes and general terms

Before starting formal proceedings, please send a written description of the dispute and requested resolution to [email protected]. You and TacticSpace agree to attempt in good faith to resolve the matter informally for at least 30 days, unless urgent injunctive relief or mandatory law requires otherwise.

These Terms are governed by applicable law, without displacing mandatory consumer protections. A dispute may be brought only before a court or tribunal with lawful jurisdiction. The governing jurisdiction and any mandatory dispute process may depend on TacticSpace's legal domicile and your place of residence.

If any provision is unenforceable, it will be limited or modified only as needed, and the rest remains effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, sale, or transfer of the service. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations already due.

18

Changes, entire agreement, and contact

We may update these Terms as Lumo, our business, or the law changes. We will update the effective date and provide additional notice when a material change requires it. Continuing to use Lumo after revised Terms take effect means you accept them; if you do not agree, stop using Lumo and cancel any subscription before the next renewal.

These Terms, the Privacy Policy, the pricing and checkout terms you accept, and any feature-specific terms form the entire agreement for Lumo and replace prior discussions about the same subject. If checkout or feature-specific terms conflict with these Terms, the more specific terms control for that subject.
